We (the team at ORIGIX®) are on a mission to make the web a better place by providing advanced monitoring tools and solutions for organisations. We hope you will enjoy our products and services that help identify and resolve technical issues before they impact your customers. These Terms of Service ("Terms") describe our commitments to you, and your rights and responsibilities when using our services. Please read them carefully and reach out to us if you have any questions.

These Terms govern your access to and use of origix.com, as well as all content and ORIGIX® products and services (for example, subscription plans and add-ons as outlined below in Section 7) available at or through our website (collectively, "Services"). These Terms also govern visitors' access to and use of any websites that use our Services. For some of our other products, services, and programs, additional Terms of Service may apply and will be posted on the respective websites.

Our Services are offered subject to your acceptance, without modification, of all of the terms and conditions contained herein and all other operating rules, policies (including, without limitation, our Privacy Policy and No-Cookie Policy), and procedures that may be published from time to time by ORIGIX® (collectively, the "Agreement"). You agree that we may automatically upgrade our Services, and the Agreement will apply to any upgrades.

Please read the Agreement carefully before accessing or using our Services. By accessing or using any part of our Services, you agree to become bound by the Agreement. If you do not agree to all the terms of the Agreement, then you may not access or use our Services.

1. Who's Who

Throughout these Terms, "you" or "your" applies to organisations (companies, government entities, nonprofits, etc.) that access or use ORIGIX®'s Services. If you are an individual using ORIGIX®'s Services on behalf of an entity, you represent and warrant that you have the authority to bind that entity to the Agreement and that by using ORIGIX®'s Service(s), you are accepting the Agreement on behalf of that entity.

"ORIGIX®", "we", "us", or "our" refers to Origix ApS (company registration number: 45117049), a Danish limited liability company, which is a subsidiary of Origix Holding ApS (company registration number: 44937735). These companies are the legal entities that provide the Services described in these Terms. For complete company information, please refer to our Impressum.

2. Eligibility and Account Registration

2.1 Eligibility

Our Services are available in two distinct tiers:

  1. Free User Access: Individuals who are at least 18 years of age may register for a free account to access our basic tools and features. Free users can utilise our monitoring tools for basic testing purposes, with a limit of 5 queries per tool per 24-hour period.

  2. Organisation Access: Domain monitoring services are exclusively available to organisations (companies, government entities, nonprofits, etc.). To monitor domains, you must register as an organisation representative, be at least 18 years of age, and provide the necessary organisation details.

Unregistered guests can still use FREE tools but are limited to 5 queries per tool per 24-hour period to prevent resource abuse from bots.

All users, regardless of account type, must be at least 18 years of age to register for and use our Services. By completing the registration process, you confirm that you meet this age requirement.

2.2 Registration Process

2.2.1 Free User Registration

To create a free user account, you must:

  1. Be at least 18 years of age
  2. Provide your first and last name
  3. Provide a valid email address (you will need to verify this email through a 6-digit one-time passcode)
  4. Accept these Terms of Service, our Privacy Policy, and our No-Cookie Policy
  5. Confirm: "I am at least 18 years of age"

2.2.2 Organisation Registration

To register an organisation account and access domain monitoring services, you must provide:

  1. Your organisation's domain name
  2. Your business email address (you will need to verify this email through a 6-digit one-time passcode)
  3. Organisation details:
    • Organisation name (required)
    • VAT/GST number or organisation number (required)
    • Address line 1 (required)
    • Address line 2 (optional)
    • Postal code (required)
    • City (required)
    • Country (required)
    • User first name (required)
    • User last name (required)
    • User job title (optional)

By completing the organisation registration process, you confirm that:

  • You represent the listed organisation
  • The provided details are accurate
  • You accept these Terms of Service, our Privacy Policy, and our No-Cookie Policy

Free users can upgrade to organisation status at any time by providing the required organisation information.

2.3 Account Security

You will be solely responsible and liable for any activity that occurs under your account. You are responsible for:

  • Keeping your account information up-to-date
  • Maintaining the security of your account and any Service-related website
  • Keeping your password secure
  • Not sharing or misusing your access credentials

You must immediately notify us of any unauthorized uses of your account or other breach of security. We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions.

2.4 Account Communications

When you create an origix.com account, we consider that to be an inquiry about our products and services, which means that we may contact you to share more details about what we have to offer. If you aren't interested in learning more, you can opt-out of marketing communications, whether by email, phone call, or text message.

2.5 User Management

When you register for an account, the initial user automatically becomes the primary admin for the organisation account. As the admin, you have the ability to:

  • Invite additional users to join your organisation account
  • Assign appropriate roles and permissions to users
  • Share monitoring domain access with team members
  • Configure alert preferences for different users
  • Manage user access and remove users when needed

Each user must have their own credentials and should not share login information. The primary admin is responsible for managing all users within the organisation account and ensuring compliance with these Terms.

2.5.1 User Roles and Permissions

ORIGIX offers three user roles with distinct permissions:

Admin Role

  • Can edit organisation details
  • Can edit billing settings and view invoices
  • Can purchase services and SMS-alerts
  • Can assign user roles: Admin and Manager
  • Includes all Manager and Member permissions

Manager Role

  • Can create, edit and delete Members
  • Can assign user role: Member
  • Can create and delete monitoring domains
  • Can edit monitoring settings
  • Can invite and remove user access in monitoring settings
  • Can set notifications for all users
  • Can edit monitoring custom URLs
  • Can edit monitoring redirect URLs
  • Can edit monitoring DNS records
  • Can access domain logs
  • Includes all Member permissions

Member Role

  • Can set own notifications
  • Can view custom URLs
  • Can view redirect URLs
  • Can view DNS records
  • Can access domain reports
  • Can access notification center
  • Can view domain timeline
  • Can view domain history
  • Can view dashboards

The organisation's primary admin is responsible for appropriate role assignment based on users' responsibilities within the organisation.

2.6 Account Security Recommendations

We strongly recommend that all users activate Two-Factor Authentication (2FA) under their profile settings to enhance account security. This additional layer of protection helps safeguard your organisation's data and prevent unauthorized access.

3. Minimum Age Requirements

Our Services are not directed to children. Access to and use of our Services is only for those over the age of 18. If you are younger than this, you may not register for or use our Services. Any person who registers as a user or provides their personal information to our Services represents that they are 18 years of age or older.

4. Responsibility of Visitors and Users

4.1 User-Generated Content

Our platform allows you to create, share, and store content within your client area, including but not limited to:

  • Communications with our team on programming tasks
  • Interactions with other users in your organisation team
  • Information shared through our collaborative tools
  • Files, data, and code uploaded to our system

This content is not publicly published on our site but remains within your organisation's private area.

4.2 Your Responsibility

You are responsible for all content you submit, post, or store within our Services. This includes:

  • Ensuring you have necessary rights to share such content
  • Maintaining appropriate professional standards in communications
  • Complying with our acceptable use policies
  • Protecting confidential information

4.3 Our Position

We do not claim ownership of your content, but you grant us limited rights to host, store, and display it as needed to provide our Services. We have no responsibility or liability for communications, interactions, or disputes between you and other users of your organisation.

4.4 Third-Party Terms

Additional third-party terms and conditions may apply to certain aspects of our Services, especially integrations with external tools and platforms.

4.5 Domain Verification

When you add a domain for monitoring, you represent and warrant that you have legitimate authority to monitor that domain, either as the owner or as an authorized representative of the owner. ORIGIX® reserves the right to verify domain ownership or authorization through various methods, including but not limited to:

  • Email verification to domain-based addresses
  • DNS record verification
  • File upload verification
  • WHOIS record verification
  • Other technical verification methods

4.6 Previously Claimed Domains

If you attempt to register a domain that is already being monitored by another ORIGIX® account:

4.6.1 You will be notified that the domain is already under monitoring.

4.6.2 If you believe you have legitimate authority over the domain, you may initiate a domain claim review by providing evidence of your legitimate relationship to the domain.

4.6.3 ORIGIX® will review the evidence provided and may:

  • Grant you monitoring access if ownership is clearly established
  • Maintain the existing monitoring relationship if the current account has stronger ownership proof
  • Offer a shared monitoring solution if both parties have legitimate interests (such as different departments of the same organization)

4.6.4 During any domain claim review, the existing monitoring will continue uninterrupted until a determination is made.

4.7 False Claims

Submitting false ownership claims or attempting to gain unauthorized access to monitoring data for domains you do not legitimately control constitutes a violation of these Terms and may result in:

ORIGIX® reserves the final decision in all domain claim disputes and may, at its sole discretion, refuse to provide services for any domain without providing a reason.

5. Fees, Payment, and Renewal

5.1 ORIGIX® Fees

Fees for Paid Services. Some of our Services are offered for a fee, including:

  • Website Monitoring subscription plans (Essential, Premium, Enterprise)
  • WordPress Security Suite Add-ons
  • Add-ons and single purchases as listed in Section 7

By using a Paid Service, you agree to pay the specified fees. Depending on the Paid Service, there may be one-time fees, recurring fees, or revenue-based fees. For recurring fees, we will bill or charge you at regular automatically-renewing intervals (such as monthly or yearly), on a pre-pay basis until you cancel, which you can do at any time either by contacting our support team or through your subscriptions page by clicking "cancel the subscription".

Taxes. To the extent permitted by law, or unless explicitly stated otherwise, all fees are exclusive of applicable federal, provincial, state, local or other governmental sales, goods and services, harmonized or other taxes, fees, or charges now in force or enacted in the future ("Taxes"). You are responsible for payment of all applicable taxes relating to your use of our Services, your payments, or your purchases. If we are obligated to pay or collect Taxes on the Fees you've paid or will pay, you are responsible for such Taxes, and we may collect payment for such Taxes.

Payment. If your payment fails or if Paid Services are otherwise not paid for or paid for on time, we may immediately cancel or revoke your access to the Paid Services. If you contact your bank or credit card company to decline or reverse the charge of fees for Paid Services, we may revoke your access to our Services in general.

5.2 Automatic Renewal

To ensure uninterrupted service, recurring Paid Services are automatically renewed. This means that unless you cancel a Paid Service before the end of the applicable subscription period, it will automatically renew, and you authorize us to invoice you or use any payment mechanism we have on record for you to collect the then-applicable subscription fee (as well as any Taxes).

By default, your Paid Services will be renewed for the same interval of time as your original subscription period. For example, if you purchase an origix.com annual Essential plan, you will be charged each year for the following 12-month period. We will charge your account at the renewal date of your subscription period.

It is your responsibility to make sure you are checking your email (including any spam or other filters) in order to receive any reminder email we send to you in advance of renewal. The date for the automatic renewal is determined automatically based on the date of the original purchase and cannot be changed.

5.3 Cancelling Automatic Renewal

You can manage and cancel your Paid Services through your Subscriptions Page. To cancel a plan, go to your Subscriptions page, click on the plan you wish to cancel, then follow the instructions to "cancel the subscription." You must repeat this process for each subscription you wish to cancel.

5.4 Fee Changes

We may change our fees at any time. When applicable, we will give you advance notice of the fee changes. If you don't agree with the fee changes, you must cancel your Paid Service.

5.5 No-Show Policy

We may have a "no-show policy" for some Paid Services, which means that if you fail to show up online or are late for a scheduled session, we may withhold the Service without a refund.

5.6 Refunds

While you may cancel a Paid Service at any time, refunds are issued in our sole discretion, unless otherwise required by applicable law. As a SaaS-company providing digital services, no refunds are typically provided for prepaid services upon cancellation or termination.

6. General Representation and Warranty

You represent and warrant that your use of our Services:

  • Will be in strict accordance with these Terms;
  • Will comply with all applicable laws and regulations (including, without limitation, all applicable laws regarding online conduct and acceptable content, privacy, data protection, the transmission of technical data exported from Denmark or the country in which you reside, the use of financial services, notification and consumer protection, unfair competition, and false advertising);
  • Will not use the Services for any unlawful purposes, to publish illegal content, or in furtherance of illegal activities;
  • Will not infringe or misappropriate the intellectual property rights of any third party;
  • Will not overburden our systems, as determined by us in our sole discretion;
  • Will not disclose sensitive personal information of others;
  • Will not be used to send spam or bulk unsolicited messages;
  • Will not interfere with, disrupt, or attack any service or network; and
  • Will not be used to create, distribute, or enable material that is – or that facilitates or operates in conjunction with – malware, spyware, adware, or other malicious programs or code.

7. Specific Service Terms

7.1 Website Monitoring Subscription Plans

We offer various website monitoring subscription plans. For current pricing and detailed feature comparisons, please refer to our Plans & Pricing page on our website.

Each plan includes different testing frequencies, number of priority pages, and additional features as detailed on our Plans & Pricing page.

7.1.1 Priority Pages

Priority pages are pages that are valued higher than regular pages. These pages receive enhanced monitoring frequency to ensure they are always available and functioning properly. By default, priority pages include the homepage and contact page of a given domain.

  • Admins and managers can designate which pages should be treated as priority pages
  • Admins can purchase additional priority page allocations
  • Priority pages are crawled and analyzed every day to ensure consistent availability and performance
  • If issues arise with priority pages, alerts are generated sooner than for regular pages

The number of priority pages included varies by subscription plan as specified on our Plans & Pricing page.

7.2 WordPress Security Suite Add-ons

Our WordPress Security Suite Add-ons include:

  • Security lockouts and brute force protection
  • Two-factor authentication and login security
  • System and file protection measures
  • PHP security controls
  • Advanced backup system with scheduling options
  • Additional storage capacity options in GB for WordPress backups

7.3 Add-ons and Single Purchases

7.4 Attribution and Audit & Monitoring Badge

We reserve the right to display attribution text, graphics or links in your ORIGIX® "Audit & Monitoring Badge", attributing origix.com. Some of these attributions may not be altered or removed.

The ORIGIX® Audit & Monitoring Badge serves as a visible certification that your organisation takes website audit, security, compliance, and accessibility seriously. This badge represents your commitment to digital excellence and demonstrates to your visitors that you are proactively maintaining your online presence according to industry standards. By displaying this badge on your website, you communicate to visitors that you:

  • Actively monitor your website for technical issues and vulnerabilities
  • Follow established best practices for website maintenance and security
  • Are committed to resolving urgent issues in a timely manner before they affect your users
  • Prioritize website security, performance, and accessibility following web standards and best practices

The badge is a mark of quality that signals to customers and partners your dedication to providing a reliable, secure, and accessible digital experience. It must be displayed in its original form without alterations to its design, colors, or attribution text. Unauthorized use or modification of the badge may constitute a violation of our intellectual property rights.

8. Alert Systems and Notifications

8.1 Alert Classifications

We classify alerts into three categories:

  • Green: Everything is functioning correctly
  • Orange (Possible Issue): Potential issues that need attention
  • Red (Critical Issue): Critical issues requiring immediate action

8.2 Notification Policies

By default, we only send critical alerts via email, SMS, or app push notifications. Admins and managers can customize website monitoring configuration for each check and decide which alert levels are important for their organisation.

Different notification methods are available based on subscription plans:

  • Free plan: Email and app notifications
  • Paid plans: Email, app, and optional SMS alerts (additional charges apply based on local operator, admin can view exact price for the specific user after mobile number activation)

8.3 SMS Alert Credits

SMS-Credits for Alerts are available as a single top-up purchase. These credits are bound to the specific mobile number of the user as pricing is determined based on the local mobile operator.

If a user has only 1 SMS-credit remaining and 2 critical issues occur simultaneously, the user will only receive an SMS-Alert for one of them. Users must top-up their SMS credits or enable automatic refills to ensure continuous SMS alert coverage. Only users with the Admin role can purchase additional SMS credits or enable automatic refills.

Mobile numbers provided for SMS alerts are stored securely in our systems and shared only with our third-party SMS provider (Clickatell) for the sole purpose of delivering alerts. These numbers are protected with industry-standard security measures as detailed in our Privacy Policy.

After service discontinuation, mobile numbers remain in our system as long as they have associated SMS credits or for a period of 12 months, whichever is longer. SMS credits are non-refundable and non-transferable upon termination.

9. Technical Support

9.1 Support Hours and Availability

Our technical support is available during the following hours:

  • 09:00-16:00 on all weekdays
  • Support channels include telephone (+45 70 60 88 77), client center, chat, and email (support@origix.com)

9.2 Support Priority

Users with paid plans receive priority support when contacting us. We always respond to priority clients first when managing support requests.

9.3 Support Limitations

Technical support is limited to assistance with our platform functionality and does not include:

  • Custom development work (available as a paid service)
  • Website content creation or editing
  • Third-party software integration beyond documented features
  • Training beyond standard onboarding materials

Online onboarding via Microsoft Teams is available for paid plans.

10. Free Tools and Usage Limitations

10.1 Free Tools for Unregistered Guests

Unregistered guests can access all our monitoring tools for basic testing purposes. However, continuous monitoring requires an account.

10.2 Usage Limitations

Free tool usage by unregistered guests is limited to 5 queries per tool per 24-hour period to prevent resource abuse from bots.

Additional limitations apply to specific tools:

  • Bulk tools like bulk redirect checker have a maximum limit of 50 URLs for guests
  • Free plan logged-in users can process up to 250 URLs at once in bulk tools

10.3 Data Retention

For unregistered guests, we store historic queries only for the duration of their session. For free plan users, we retain monitoring data for 30 days. For paid plans, we retain monitoring data for the duration of your active subscription and for a reasonable period after termination to allow for potential service resumption. For complete information on our data retention policies, please refer to Section 11 of our Privacy Policy.

11. Web Crawler and Bot Access

11.1 Our Web Crawler: Robi

ORIGIX® uses an automated web crawler named Robi to monitor and analyze websites. The name ROBI stands for what our clients and our online platform strive to achieve:

Robi is the core technology behind our monitoring services, collecting data necessary to detect technical issues, security vulnerabilities, performance bottlenecks, and SEO optimization opportunities before they affect your users and business operations.

11.2 Crawler Identification

Robi can be identified by the following User-Agent string:

Where "x.x" represents the version number of our crawler.

11.3 Whitelisting Recommendations

We strongly recommend that organisations whitelist Robi in their website's security settings, robots.txt files, and firewall configurations. Blocking our crawler may result in:

  • False alerts about website availability
  • Incomplete monitoring data
  • Missed detection of critical issues
  • Inaccurate performance metrics

11.4 Responsible Crawling Practices

ORIGIX® is committed to responsible crawling practices. Robi:

  • Respects robots.txt directives unless explicitly configured otherwise by you
  • Implements appropriate crawl delays to minimize server load
  • Follows a predictable crawl pattern based on your subscription parameters
  • Only accesses publicly available content unless specifically configured for authenticated monitoring
  • Adheres to industry best practices for ethical web crawling

11.5 Crawl Frequency and Impact

Robi's crawling frequency varies based on your subscription plan as detailed in Section 7.1 and the "Crawl Frequency Calculation" section of our service documentation. Our crawler is designed to have minimal impact on your website's performance while still providing comprehensive monitoring.

11.6 Crawler Configuration

Admins and Managers can customize Robi's behavior in your account settings, including:

  • Crawl frequency adjustments
  • Priority page designation
  • Custom URL monitoring
  • Setting crawl depth parameters
  • Configuring specific checks and alerts

12. Privacy and Data Handling

We implement a strict No-Cookie Policy as detailed in our No-Cookie Policy. We do not use tracking or marketing cookies, including third-party cookies. Instead, we utilize sessionStorage for necessary functionality. This approach demonstrates our commitment to respecting user privacy while maintaining essential service functionality.

12.2 Data Processing

We only collect and process the data necessary to provide our Services. All data processing activities comply with applicable data protection regulations, including GDPR where applicable. For comprehensive information about our data handling practices, please refer to our Privacy Policy.

12.2.1 Types of Data Processed

Our platform processes the following types of data:

  • Account Data: Information provided during registration including organisation details, user contact information, and credentials
  • Monitoring Data: Technical information about your websites, including performance metrics, error logs, and availability statistics
  • Usage Data: Information about how users interact with our platform
  • Communication Data: Records of support requests and other communications with our team

12.2.2 Purpose of Processing

We process your data for the following purposes:

  • To provide and maintain our Services
  • To notify you about changes to our Services
  • To allow you to participate in interactive features of our Services
  • To provide customer support
  • To gather analysis or valuable information so that we can improve our Services
  • To monitor the usage of our Services
  • To detect, prevent and address technical issues

We process your data based on:

  • The necessity to perform our contract with you
  • Your consent, where applicable
  • Our legitimate interests in providing and improving our Services
  • Compliance with legal obligations

12.2.4 Data Export

Clients have the right to download their data at any time, including:

  • Invoices for all purchased services
  • Monitoring reports and historical data
  • Tool results and analysis findings These export options remain available as long as the account is active.

12.3 Data Protection

We implement appropriate technical and organizational measures to protect your data against unauthorized access, alteration, disclosure, or destruction.

13. Acceptable Use Policy

You agree not to:

  • Use our Services in any way that violates applicable laws or regulations
  • Attempt to circumvent any account limitations or security measures
  • Use our Services to monitor websites you do not own or have authorization to monitor
  • Attempt to reverse engineer, decompile, or disassemble any portion of our Services
  • Use our Services to engage in any activity that interferes with or disrupts our Services
  • Sell, resell, license, sublicense, distribute, rent, or lease any part of our Services or access to them

Violation of this policy may result in immediate termination of your account and Services without refund.

14. Service Level Agreement

ORIGIX® strives to maintain a high level of service availability. We aim to provide 99.9% uptime for our platform, excluding scheduled maintenance periods.

For clients with Hosting Services that include an SLA, the agreement includes:

  • Regular server software updates
  • Scheduled WordPress version updates (coordinated with client)
  • Access to a dedicated technical support team via phone on weekdays from 09:00-16:00
  • Priority response for technical emergencies

Details of specific uptime guarantees and response times are provided in the separate SLA document delivered upon purchase of hosting services.

In the event of service disruptions:

  • We will communicate promptly about any significant outages
  • For disruptions exceeding 4 consecutive hours, eligible customers may request service credits according to our SLA policy

15. API Usage Terms

If you have purchased API access as an add-on service:

  • Your API access is subject to rate limits as specified in your plan
  • You may not share your API key with third parties
  • You are responsible for all activities conducted using your API key
  • We reserve the right to modify the API functionality with reasonable notice
  • Excessive or abusive API usage may result in temporary or permanent suspension of API access

16. Dispute Resolution

All disputes arising out of or in connection with these Terms shall be governed by the laws of Denmark, without regard to its conflict of law provisions.

Both parties agree that any claims or disputes arising out of or relating to this Agreement will be litigated exclusively in the courts of Copenhagen, Denmark. Both parties consent to the personal jurisdiction of these courts.

Before initiating any formal legal proceedings, we encourage attempting to resolve any disputes through good-faith negotiation by contacting us at legal@origix.com.

As we ask others to respect our intellectual property rights, we respect the intellectual property rights of others. If you believe that material located on or associated with an ORIGIX® product or service violates your copyright, please notify us at legal@origix.com.

Unauthorised use of the ORIGIX® Audit & Monitoring Badge or our issued API key licenses may give rise to a claim for damages, lost revenue and/or be a criminal offence.

18. Intellectual Property

The Agreement does not transfer from ORIGIX® to you any ORIGIX® or third party intellectual property, and all right, title, and interest in and to such property will remain (as between the parties) solely with ORIGIX®. origix.com, the ORIGIX® logo, and all other trademarks, service marks, graphics, and logos used in connection with origix.com or our Services, are trademarks or registered trademarks of Origix Holding ApS, Origix ApS, or our licensors.

Trademarks:

Other trademarks, service marks, graphics, and logos used in connection with our Services may be the trademarks of other third parties. Your use of our Services grants you no right or license to reproduce or otherwise use any ORIGIX® or third party trademarks.

19. Third-Party Services

In using the Services, you may enable or use services, products, software, embeds, or applications developed by a third party or yourself ("Third Party Services") on your website. If you use any Third Party Services, you understand that:

  • Third-Party Services are not vetted, endorsed, or controlled by us.
  • Any use of a Third Party Service is at your own risk, and we shall not be responsible or liable to anyone for Third Party Services.
  • Your use is solely between you and the respective third party ("Third Party") and will be governed by the Third Party's terms and policies. It is your responsibility to review the Third Party's terms and policies before using a Third Party Service.

19.1 Service Providers

We partner with several trusted service providers to deliver our services, including:

  • Clickatell (for SMS alert delivery)
  • Hetzner (hosting infrastructure partner)

Data shared with these partners is limited to what is necessary to provide the requested services and is subject to appropriate data protection agreements.

20. Changes

We are constantly updating our Services and that means sometimes we have to change the legal terms under which our Services are offered. These Terms may only be modified by a written amendment signed by an authorized executive of ORIGIX®, or by the posting by ORIGIX® of a revised version.

If we make changes that are material, we will let you know by posting on our website, or by sending you an email or other communication before the changes take effect. The notice will designate a reasonable period of time after which the new terms will take effect, with a minimum of 30 days' notice for material changes that would substantially affect your use of the Services, unless a shorter notice period is required by law or is necessary to address an unforeseen security issue or threat.

If you disagree with our changes, then you should stop using our Services within the designated notice period, or once the changes become effective. Your continued use of our Services will be subject to the new terms. However, any dispute that arose before the changes shall be governed by the Terms that were in place when the dispute arose.

21. Termination

We may terminate your access to all or any part of our Services at any time, with or without cause, with or without notice, effective immediately. We have the right (though not the obligation) to, in our sole discretion:

  • Reclaim your account due to prolonged inactivity
  • Refuse or remove any content that, in our reasonable opinion, violates any ORIGIX® policy or is in any way harmful or objectionable
  • Ask you to make adjustments, restrict the resources your website uses, or terminate your Services if we believe your website's storage or bandwidth usage burdens our systems

We will have no obligation to provide a refund of any amounts previously paid.

If you wish to terminate the Agreement or your origix.com account, you may simply discontinue using our Services, or, if you are using a paid service, you may cancel at any time, subject to the Fees, Payment, and Renewal section in these Terms.

For ordinary termination by clients, no notification period is required beyond cancelling any active subscriptions. For termination by ORIGIX® in cases of suspected abuse, overuse of resources, or violations of these Terms, we reserve the right to suspend or terminate services immediately, with notice provided by email to your registered address.

Upon account termination, ORIGIX® will delete all account-related data and user access relations. Domains will no longer be monitored. However, for legal compliance purposes, we retain invoices for paid services for a minimum of 5 years after termination, as detailed in Section 11.1 of our Privacy Policy.

21.1 Account Deletion

If you wish to completely delete your organisation account, only the primary admin has the permission to do so through the Account Details page. Account deletion will:

  • Permanently remove all monitoring data
  • Terminate all user access to the organisation
  • Cancel all active subscriptions immediately
  • Cannot be undone or reversed

Upon account deletion, we will send a confirmation email to the primary admin's registered email address. For legal compliance purposes, we will retain invoices and financial records for a minimum of 5 years after account deletion, as detailed in Section 11.1 of our Privacy Policy.

22. Data Processing Agreement

22.1 Data Subject Rights

Under applicable data protection regulations including GDPR, data subjects have rights to:

  • Access their personal data
  • Request correction of inaccurate personal data
  • Request deletion of their personal data
  • Object to processing of their personal data
  • Request restriction of processing
  • Request data portability

22.2 Data Breach Notification

In the event of a personal data breach affecting your data, we will notify you without undue delay, typically within 72 hours of becoming aware of the breach, with details as required by applicable law.

22.3 International Data Transfers

Where personal data is transferred outside the European Economic Area, we ensure appropriate safeguards are in place through standard contractual clauses or other approved transfer mechanisms.

23. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to:

  • Natural disasters and extreme weather events
  • Terrorism, war, civil unrest, and government actions
  • Power failures and internet service provider failures
  • Global health emergencies and pandemics
  • Widespread cyber attacks or security incidents
  • Supply chain disruptions affecting infrastructure providers
  • Severe climate-related events
  • Solar flares or widespread network issues

ORIGIX® will make reasonable efforts to minimize the effect of such events but cannot guarantee uninterrupted service during force majeure events.

24. Disclaimer of Warranties

Our Services are provided "as is." ORIGIX® and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither ORIGIX® nor its suppliers and licensors, makes any warranty that our Services will be error free or that access thereto will be continuous or uninterrupted. You understand that you download from, or otherwise obtain content or services through, our Services at your own discretion and risk.

25. Limitation of Liability

In no event will ORIGIX®, or its suppliers, partners, or licensors, be liable with respect to any subject matter of the Agreement under any contract, negligence, strict liability or other legal or equitable theory for:

  1. Any special, incidental or consequential damages
  2. The cost of procurement for substitute products or services
  3. For interruption of use or loss or corruption of data
  4. For any amounts that exceed €50 or the fees paid by you to ORIGIX® under the Agreement during the twelve (12) month period prior to the cause of action, whichever is greater

ORIGIX® shall have no liability for any failure or delay due to matters beyond our reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.

26. Indemnification

You agree to indemnify and hold harmless ORIGIX®, its contractors, and its licensors, and their respective directors, officers, employees, and agents from and against any and all losses, liabilities, demands, damages, costs, claims, and expenses, including attorneys' fees, arising out of or related to your use of our Services, including but not limited to your violation of the Agreement or any agreement with a provider of third-party services used in connection with the Services, Content that you post, and any activities conducted through your or another user's website.

27. Translation

These Terms were originally written in English (British). We may translate these terms into other languages. In the event of a conflict between a translated version of these Terms and the English version, the English version will control.

28. Partners, Agencies, Ambassadors and Affiliates

28.1 Partner and Agency Relationships

Any individual or organisation that enters into a partnership, agency, ambassador, or affiliate relationship with ORIGIX® agrees to:

  • Act at all times in the best interests of ORIGIX®
  • Represent our products and services accurately and professionally
  • Not make any false or misleading claims about ORIGIX® or our competitors
  • Adhere to our brand guidelines and marketing requirements
  • Maintain confidentiality regarding any non-public information
  • Disclose their relationship with ORIGIX® when promoting our services

28.2 Agencies and Service Providers

Marketing agencies, development agencies, and other service providers working with organisations using ORIGIX® services must:

  • Obtain proper authorization before accessing client monitoring accounts
  • Comply with these Terms when using our platform on behalf of clients
  • Respect the confidentiality of all data accessed through our services
  • Not use client data for purposes outside their service agreement
  • Follow client-directed account access protocols

Agencies may request their own ORIGIX® accounts to manage multiple client websites with appropriate permissions.

28.3 Affiliate Marketing

Affiliates must comply with all applicable laws and regulations regarding disclosures, endorsements, and marketing practices. This includes clearly disclosing affiliate relationships in all promotional materials.

28.4 Representation Authority

Partners, agencies, ambassadors, and affiliates are not authorized to:

  • Enter into contracts on behalf of ORIGIX®
  • Make commitments beyond what is stated in official ORIGIX® materials
  • Modify our service offerings or pricing without explicit written approval
  • Speak on behalf of ORIGIX® in legal or media contexts

28.5 Confidentiality Obligations

Partners, agencies, ambassadors, affiliates, and users with access to non-public information agree to:

  • Keep all confidential information strictly private and not disclose it to any third party
  • Use confidential information solely for purposes authorized by ORIGIX®
  • Implement reasonable security measures to protect confidential information
  • Notify ORIGIX® immediately of any actual or suspected unauthorized disclosure
  • Return or destroy all confidential information upon request or termination of relationship

Confidential information includes, but is not limited to:

  • Pricing strategies and non-public commercial terms
  • Technical specifications not published on our website
  • Strategic roadmaps and product development plans
  • Client lists and user data
  • Internal communications and documentation
  • Any information marked as "Confidential" or that should reasonably be understood to be confidential

These confidentiality obligations survive the termination of any relationship with ORIGIX® for a period of three (3) years from the date of termination.

29. Miscellaneous

The Agreement constitutes the entire agreement between ORIGIX® and you concerning the subject matter hereof. If any part of the Agreement is held invalid or unenforceable, that part will be construed to reflect the parties' original intent, and the remaining portions will remain in full force and effect.

A waiver by either party of any term or condition of the Agreement or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof. No failure to exercise, or delay in exercising, any right, remedy, power, or privilege arising from these Terms shall operate or be construed as a waiver thereof.

You may assign your rights under the Agreement to any party that consents to, and agrees to be bound by, its terms and conditions; ORIGIX® may assign its rights under the Agreement without condition. The Agreement will be binding upon and will inure to the benefit of the parties, their successors and permitted assigns.

If any legal action or proceeding arises under these Terms, the prevailing party shall be entitled to recover its legal costs, including attorneys' fees and court costs, from the non-prevailing party.

All notices to ORIGIX® must be sent in writing to our address or to legal@origix.com. We may provide notice to you via email or other electronic means.
